RSM has overseen the management buyout by Jon Lees of his business partner Steve Lord for their company Specialist Education Services (SES).

Established in 2005, SES provides specialised integrated therapeutic residential care and education for young people.

Following the transaction, Lord will retire from the business whilst maintaining private ownership.

Stephen Orriss, Greg Moreton, Umito Choji and Russell Jones from RSM’s corporate finance team advised the shareholders on the debt raise and subsequent buyout, with Andrew Robinson providing tax advice and Mills & Reeve acted as legal advisers.

RSM brought together a combination of “specialist M&A” and debt advisory professionals to bring this transaction to a successful conclusion.

Commenting on the management buyout, Lees said: “I am delighted to say that Stephen and the team at RSM have done a fantastic job; Steve is ready to retire completely from the business, and I am thrilled to be fully taking up the mantle. We have plans to take the service that we offer further, and this is the next step in achieving our long-term goals.”

Stephen Orriss, corporate finance partner at RSM, said: “We have worked with SES for a number of years, so we were thrilled to advise on a transaction which suited all parties involved.

“Steve is able to enjoy his retirement and, with the help of Greg and our debt advisory team, we have found Jon a partner that will allow him to continue driving the business forward.”
