Azets has provided deal and tax advisory services at Henley Construction Management Group, as the Wakefield-based company completed a management buyout alongside the acquisition of Smart Crosby International, an engineering and consultancy practice. 

Corporate finance partner at Azets, Stephen Garbett, led the advisory team for the transactions. The deal allows founding directors Shaun and Zoe Henley to step back from daily operations.

The buyout was completed by senior team members Tom Cardoe, Jon Henley, Dave Cawley and Jim Wenham. The founders will retain a minority shareholding and provide strategic support to the business.

Henley was founded in 2012 and delivers facade systems, heritage restoration, and rail infrastructure projects across the UK. The group includes Henley Stone Specialists and Henley Restoration and Remedials.

Smart Crosby International, based in Oakham, provides facade design and structural analysis. The acquisition is intended to allow Henley to offer integrated facade solutions from design through to installation.

The management team plans to double the size of the business over the coming years. 

Garbett said: “We’re proud to have supported Henley through this transformational phase. The MBO and acquisition of SCI are landmark deals that create a strong platform for future growth.”

Cardoe said: “We are delighted to complete the MBO for Henley and the strategic acquisition of SCI. This marks a major milestone for the business and sets the stage for an exciting new era.”

Dave Cawley, construction director at Henley, added: “SCI has been a trusted partner for many years, and bringing them into the Henley Group is a natural next step. Their expertise strengthens our technical capability and allows us to offer a fully integrated façade solution.”
