PKF Smith Cooper has completed the pre-packaged sale of UK Operational Project Support Ltd to Euro Operational Project Support Ltd, securing all 37 existing jobs.

Dean Nelson, head of business recovery and restructuring at PKF Smith Cooper, was appointed as joint administrator to facilitate the transaction.

UKOPS, a Midlands-based retail support and facilities management provider established in 2005, faced financial strain following operational downtime caused by the pandemic and subsequent HMRC arrears.

The sale to EuroOPS, an organisation founded in 2011 specialising in the non-merchandise sector, allows the business to continue as a going concern while protecting its remaining goodwill and creditor interests.

The retail support sector has faced significant pressure due to paused client activity and shifting working capital requirements.

By seeking professional advice at the onset of formal pressure from HMRC, the UKOPS directors were able to navigate a structured exit that avoided redundancy for the nationwide workforce.

EuroOPS will now integrate the UKOPS maintenance and facilities contracts into its existing service portfolio.

The transaction involved multiple regional stakeholders to value the assets and secure acquisition financing.

The administrative move prioritises the stability of the retail site operations, ensuring that ongoing facilities management contracts for UK retailers remain uninterrupted during the ownership transition.

Nelson said: “I am satisfied with the outcome achieved in saving the business as a going concern and securing all jobs. Seeking assistance at the first sign of distress is the best way to understand, determine, and secure future options for your business, protecting customers and employees.”
