Dains Corporate Finance has advised on the sale of CS Regulatory to Certania Group, marking the latest acquisition by the Munich-headquartered industrial and regulatory services business.
CS Regulatory, which is based in Derby and operates across the UK and Ireland, provides regulatory and compliance advice to manufacturers and importers. Its services include chemical compliance support, Only Representative services and tailored regulatory strategies for international clients.
The acquisition forms part of Ceratnia’s expansion within the industrial and regulatory services sector. The buyer said CS Regulatory’s chemical compliance expertise would complement its existing operations and strengthen its service offering to industrial clients in Europe and other markets.
The transaction was led by Roy Farmer and Constance Host of Dains Corporate Finance. Tax advice was provided by Adam Longmore and Jagdeep Sahota of Dains.
Legal advice to the sellers was provided by Martyn Brierly, Robert Devine and George Ottewell of Flint Bishop. Certania was advised by Eight Advisory on financial matters and by Ashurst on legal matters.
Steven Green, director of CS Regulatory, said: “Joining CERTANIA is an exciting step for us. It allows us to maintain our independent expertise while benefiting from the reach and collaboration of a strong international group.”
Craig Deegan, also a director of CS Regulatory, added: “Having everything handled under one roof made things much easier, from preparing the business for sale through to negotiations and completion.”
Roy Farmer, corporate finance partner at Dains, concluded: “CS Regulatory is a high-calibre business with a clear niche and global client reach. This deal demonstrates the continued appetite from international groups seeking specialist UK expertise.”
