PwC has been appointed as the external auditor for Shell for the financial year ending 31 December 2027.
The decision follows a competitive tender process initiated in the final quarter of 2025 and led by the group’s audit and risk committee.
The appointment remains subject to shareholder approval at the company’s 2027 annual general meeting.
EY will continue as the external auditor for the 2026 financial year, subject to approval at the upcoming 2026 annual general meeting.
The transition comes as the Financial Reporting Council (FRC) investigates EY’s previous audits of the company.
The regulator opened the inquiry following disclosures that rules regarding the rotation of audit partners had been breached.
Shell stated that EY has issued only unqualified reports on its consolidated financial statements and internal controls over the past two years.
The group added: “There have been no reported disagreements between the company and EY regarding accounting matters or disclosures during this period.
“Participants in the tender were informed of the outcome on 5 February 2026. Further details regarding the selection process will be included in the company’s 2025 annual report and accounts.”
