Gerald Edelman has advised Grazalema Ventures on its acquisition of Combined Services Limited (CSL). Grazalema Ventures was founded by former Uber exec and tech entrepreneur Fouzan Ali with the goal of acquiring and operating UK-based SMEs in the manufacturing and engineering sectors.
CSL is a leading manufacturer and installer of Building Energy Management Systems (BMS) and delivers solutions from initial system designs to ongoing maintenance.
Its control panels are installed in locations like The Shard, Harrods, Royal Albert Hall and the Bank of England.
As a key player in the BMS industry, CSL has also helped major retailers like Tesco and Sainsbury reduce their carbon footprints and has helped global corporations like Schneider Electric, Equinix and Facebook to implement advanced BMS solutions in data centres worldwide.
Gerald Edelman provided financial and tax due diligence services and acted as general buy-side adviser throughout the course of the transaction.
William Abell, partner at Gerald Edelman, said: “It was a pleasure to support Fouzan throughout this deal. This transaction is a perfect example of a deal structure that works for both the buyer and seller and ensures a smooth transition. We are very much looking forward to seeing CSL thrive during this new chapter.”
Fouzan Ali, managing partner at Grazalema Ventures, added: “Will, Carl, and the team at Gerald Edelman were instrumental in successfully closing this deal. Their expert guidance and support through all phases of the deal from structuring, due diligence to completion, ensured an excellent outcome for both parties.”
