Claritas Tax has advised on the sale of THM Partners LLP (THM), an independent restructuring practice, to global consulting firm AlixPartners.

The transaction is expected to further bolster AlixPartners’ restructuring practice.

It will see THM’s 40 partners and staff located across the UK, Germany and Singapore joining AlixPartners.

The Claritas Tax team was led by associate partner Ses Memhi, supported by Iain Wright, Katie Edwards, Rachael Brown, Richard Smith and Russell Bennett.

Founded in 2001, THM specialises in solving the “unique problems” of companies facing financial challenges through its CRO and value delivery service lines.

AlixPartners is a global consulting firm, headquartered in New York, that specialises in helping businesses “successfully address their most complex and critical challenges”.

Commenting on the deal, Fraser Brown, partner at THM, said: “This was a particularly
challenging transaction from a tax perspective and Claritas’ insight and advice was invaluable throughout. Their technical knowledge, commercial acumen and ability to integrate advice from overseas jurisdictions was key to getting the deal across the line.”

Ses Memhi, head of transactions tax at Claritas Tax, added: “It is not very often you deal with the sale of an LLP to a purchaser who is also an LLP, with businesses in multiple jurisdictions. This certainly made the deal much more interesting.

“What we enjoyed most was working with very knowledgeable and talented partners, who led from the front and exemplified tremendous leadership and support throughout the whole deal process. Therefore, it was a pleasure to work with Fraser Brown, Ed Wildblood and all stakeholders of THM on this deal.”
