Gerald Edelman’s corporate finance team has advised Kantik Capital and Mirabel Group Limited on the acquisition of Greenhouses Direct Limited.

The firm acted as a buy-side adviser, performing detailed financial and tax due diligence, reviewing working capital, net debt and forecast earnings, as well as providing general advice throughout the transaction.

The acquired business, which trades as Rhino Greenhouses Direct, is a UK-based manufacturer and retailer of domestic greenhouses sold directly to consumers that was established in 1995 in Norfolk

Kantik Capital and Mirabel Group Limited are founded and managed by Olivier Stapylton-Smith and Georges Nakhle respectively. Both companies have been established to acquire and grow UK SMEs.

William Abell, partner at Gerald Edelman, said: “It was a pleasure to advise Olivier and Georges on the acquisition of Greenhouses Direct. This transaction was not without its challenges and it was great to see the transaction successfully complete earlier this month.

“The business is well positioned for the next exciting phase and we look forward to seeing it grow and thrive under the ownership of Olivier and Georges”.

Olivier Stapylton-Smith, founder of Kantik Capital, said: “We are extremely pleased to have completed the acquisition of Greenhouses Direct and wanted to thank the previous owners, Terry, David and Richard for their trust and support throughout the process.

“We look forward to further growing the Rhino brand and its manufacturing capabilities. It was a pleasure working with Will and Jordan at GE who have been instrumental in helping us close the transaction.”

Georges Nakhle, founder of Mirabel Group, added: “Greenhouses Direct continues to build on a successful 30-year track record and has an outstanding team in place, led by Matthew Hill, Andrew White and many others. We are highly impressed by both the resilience of the business and its growth perspectives and are excited to be part of the Rhino brand’s future.”
